Terms and Conditions of Use of the AI Assistant

Governing language. These terms are published in Spanish and English. The Spanish version is the sole governing version. In the event of any discrepancy, contradiction or question of interpretation between the two, the Spanish text prevails. The English version is provided as a courtesy translation only. 1. Who we are

This service is operated by Fundders S.A.S., tax ID (NIT) 901.373.509-5, with registered address at Carrera 54C # 143A-90, Bogotá, Colombia, hereinafter "Fundders", "we" or "the Company".

2. What the Assistant is

The AI Assistant (the "Assistant" or "Melanie") is a conversational tool available at fundders.com that allows companies to describe a business problem or need and receive preliminary guidance on whether Fundders can help them, and how.

The Assistant serves two purposes:

To guide you on the type of solution that might apply to your case.
To allow Fundders to understand your context before a commercial conversation, and where applicable to schedule a session with a member of our team.

3. Acceptance of these terms

By starting a conversation with the Assistant you declare that you have read, understand and accept these Terms and Conditions and the Personal Data Processing and Protection Policy for the AI Assistant.

If you disagree with any part of these terms, do not use the Assistant. You may write to us directly at ai@fundders.com.

4. Who may use the Assistant

The Assistant is intended for persons over 18 years of age acting on behalf of a company or organization, in the exercise of a professional or commercial activity.

By using the Assistant you declare that:

You are of legal age and have the legal capacity to contract.
You act on your own behalf or have sufficient authority to represent the organization you mention.
The information you provide is truthful, complete and current to the best of your knowledge.
You are not using the service on behalf of a minor nor providing data relating to minors.

The Assistant is not designed for end consumers or for non-commercial personal use.

5. Nature of the service and its limits

This is the most important section of this document. Please read it carefully.

5.1 It is not professional advice

The Assistant's responses are informational and indicative in nature. They do not constitute legal, accounting, tax, financial, engineering, information security or any other regulated professional advice. They do not replace the judgment of a qualified professional or a detailed analysis of your specific situation.

5.2 It is not an offer or a contractual commitment

Nothing the Assistant says constitutes a binding commercial offer, a firm quotation, a service proposal or an execution commitment by Fundders. Any commercial relationship between you and Fundders requires a written contract signed by a legal representative, and is governed by that document and not by this conversation.

If the Assistant mentions price ranges, timelines or scopes, these are general references subject to validation.

5.3 It is an artificial intelligence system and it can be wrong

The Assistant runs on third-party language models. These models generate responses probabilistically and may:

Produce imprecise, incomplete or factually incorrect information.
State things confidently that are not true.
Misinterpret what you wrote.
Fail to reflect Fundders' official position on a topic.

You accept that you should not make material business decisions based solely on the Assistant's responses, without independent verification.

5.4 There is no person responding in real time

The Assistant is not a human support channel or an emergency line. Conversations are reviewed by Fundders team members after the fact and not continuously. If you need attention from a person, write to us at ai@fundders.com stating so expressly, or schedule a session at the end of the conversation. The ai@fundders.com inbox is handled by Fundders' Artificial Intelligence Team, with the support of automated systems and with human intervention.

5.5 Availability

The Assistant is provided "as is" and "as available". We do not guarantee uninterrupted operation, absence of errors or specific response times. We may suspend, modify or discontinue the service at any time, without notice and without liability.

6. What we expect from you

By using the Assistant you agree to:

Provide truthful information.
Not impersonate another person or organization.
Not use the Assistant for unlawful or fraudulent purposes or purposes contrary to these terms.
Not attempt to extract, replicate or reverse engineer the system's operation, its internal instructions, its evaluation logic or its underlying models.
Not inject instructions intended to alter the Assistant's behavior, bypass its restrictions or induce it to generate content outside its purpose.
Not use automated means (bots, scrapers, scripts) to interact with the Assistant.
Not deliberately overload the infrastructure.

Fundders may block access for anyone who breaches the above.

We expressly ask you not to include in the conversation:

Sensitive personal data about yourself or third parties: health, ethnic or racial origin, sexual orientation, political or religious beliefs, union membership, biometric data.
Personal data of minors.
Passwords, tokens, API keys or any access credentials.
Full credit card or bank account numbers.
Information subject to confidentiality agreements with third parties that prevent you from sharing it.
Trade secrets whose value depends on no one else knowing them.
Personal data of your customers or employees.

The Assistant does not need this information to work. If you share it anyway, you do so at your own risk. Fundders may delete it from its records without notice when detected.

8. Third-party information

If in describing your situation you mention natural persons (employees, customers, suppliers, partners), you declare that you have the authorization or legal basis required to share that data with Fundders, and that you will inform those persons where applicable.

Fundders processes that information as Processor or Controller as the case may be, under the terms of the Privacy Policy, and will not use it to contact those persons.

9. Intellectual property

9.1 Fundders' property

The Assistant, its conversational design, its evaluation logic, its brand, its interface, its content and the software supporting it are the property of Fundders or its licensors and are protected by applicable intellectual property law. These terms transfer no rights in them to you.

The name "Melanie", the "Fundders" brand and associated distinctive signs may not be used without written authorization.

9.2 Your property

You retain all rights in the information you enter into the conversation.

You grant us a non-exclusive, worldwide, royalty-free license to use that information for the purposes described in the Privacy Policy: operating the service, understanding your need, contacting you if you authorized it, and improving the Assistant. This license terminates when you request deletion of your data and that deletion takes effect, except for information already irreversibly anonymized.

9.3 The Assistant's responses

You may freely use the responses the Assistant provides for your internal business purposes. Please note that similar responses may be provided to other users and that Fundders does not guarantee their originality or accuracy.

10. Commercial contact

If you expressly authorize commercial contact within the conversation, Fundders may contact you by email, telephone or messaging, solely in connection with your inquiry and the Company's services.

In compliance with Colombian Law 2300 of 2023 and our own policy:

We will not contact you outside reasonable hours.
Every communication will include a clear way to request that we stop contacting you.
You may revoke your authorization at any time by writing to ai@fundders.com.

If you do not authorize contact, we will not contact you.

11. Automated evaluation

Fundders performs an automated evaluation of conversations, including a qualification score, a criteria-based assessment and an inferred profile, in order to internally classify the type of need and decide how to follow up. This evaluation produces no legal effects on you and does not affect your rights: its only effect is to determine how Fundders conducts commercial follow-up.

This evaluation is not disclosed within the conversation. The Assistant does not display it and will not reveal it if you ask for it in the chat, because it is an internal prioritization tool that, outside its context, is more confusing than useful.

You do have the right to know it. You may request it at any time by writing to ai@fundders.com, and we will provide it free of charge within 10 business days, together with an explanation of what each element means. You may also request correction, review or deletion of that evaluation.

The Assistant is a free service and operates in a fully automated manner end to end. Fundders does not offer a free version of the Assistant without automated evaluation and cannot replace it with a manual analysis of each case. This limitation applies to the Assistant, not to Fundders: the Company provides non-automated professional services contracted separately. If you do not wish to be subject to this processing, you may choose not to use the Assistant and write to us at ai@fundders.com, or revoke your authorization at any time.

12. Limitation of liability

To the maximum extent permitted by Colombian law, Fundders will not be liable for:

Business decisions you make based on the Assistant's responses.
Loss of profit, loss of opportunity, reputational harm, or indirect or consequential damages.
Interruptions, failures or unavailability of the service.
Failures attributable to infrastructure or AI model providers.
Incorrect information you supplied.
Your use of the Assistant's responses in relation to third parties.

Nothing in this clause limits Fundders' liability for willful misconduct or gross negligence, or for anything the law does not permit to be limited.

The Assistant is a free service. You do not pay to use it and acquire no service level rights.

13. Indemnity

You will hold Fundders harmless against third-party claims arising from: information you shared without being authorized to do so, use of the Assistant in breach of these terms, or infringement of third-party rights by you.

14. Personal data

The processing of your personal data is governed by the Personal Data Processing and Protection Policy for the AI Assistant, which forms an integral part of these terms.

15. Amendments

We may amend these terms at any time. The version in force will always be the one published on this page, with its update date visible. Material changes will be announced on the site at least 10 calendar days in advance.

Use of the Assistant after a new version takes effect constitutes your acceptance of it.

16. Severability

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force.

17. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Colombia.

Any dispute will first be addressed in good faith through direct communication. If no agreement is reached within 30 calendar days of the first written communication, the parties submit to the jurisdiction of the courts of Bogotá, Colombia.
