Línea Base Terms and Conditions

Governing language. These terms are published in Spanish and English. The Spanish version is the sole governing version. In the event of any discrepancy, contradiction or question of interpretation between the two, the Spanish text prevails. The English version is provided as a courtesy translation only. The Spanish text is available at /legal/terminos-condiciones-linea-base.

1. Who we are

Línea Base is operated by Fundders S.A.S., tax ID (NIT) 901.373.509-5, with registered address at Carrera 54C # 143A-90, Bogotá, Colombia, hereinafter "Fundders", "we" or "the Company".

2. What Línea Base is

Línea Base is a self-service diagnostic available at fundders.com/linea-base. Through a guided, staged flow, you describe an operational process within your organization and the system produces a report with:

• An estimate of the process's current cost.
• A confidence level for that estimate.
• The assumptions used to calculate it.
• The inefficiency patterns identified.
• A reading of where there may be opportunity for improvement or automation.

It includes a simulator that lets you modify variables and see how the result changes.

The diagnostic is free of charge.

3. Acceptance

By starting Línea Base you declare that you have read, understand and accept these Terms and Conditions and the Personal Data Processing and Protection Policy for Línea Base.

If you disagree, do not proceed.

4. Who may use it

Línea Base is intended for persons over 18 years of age acting on behalf of a company or organization, in the exercise of a professional or commercial activity.

By using it you declare and warrant that:

• You are of legal age and have legal capacity.
• You have the necessary authority to share with a third party the operational information of the organization you describe. This declaration is essential and is the basis on which Fundders provides the service.
• The information you provide is truthful and reflects in good faith the reality of the process you describe.
• You are not subject to a confidentiality agreement that prevents you from sharing what you are about to share.

If you are a consultant, supplier or contractor describing a client's process, it is your responsibility to have that client's authorization.

5. Nature of the result and its limits

Read this section carefully. It defines what the report you are about to receive is, and what it is not.

5.1 It is an estimate, not a measurement

The report is an estimate built from what you declare. Fundders does not audit, does not verify in the field, does not review your systems, does not access your accounting and does not independently validate any of the figures you provide.

If the input data is imprecise, the result will be imprecise. That is why the report includes a confidence level and an explicit list of assumptions: use them.

5.2 It is not an audit or an expert opinion

The report does not constitute:

• An operational, financial or process audit.
• An accounting, tax or statutory audit opinion.
• An asset valuation or a formal financial analysis.
• An expert appraisal.
• Legal, labor, tax or engineering advice.

It must not be presented to third parties, investors, financial institutions or authorities as if it had such character.

5.3 It is not an offer or a guarantee of results

The report may suggest opportunities for improvement or automation. That does not constitute:

• A binding commercial offer or a firm quotation.
• A commitment that Fundders can execute those improvements.
• A guarantee that the estimated savings will materialize.

Estimated savings are potential and theoretical. Their realization depends on factors outside the scope of the diagnostic and outside Fundders' control: execution capacity, internal adoption, data quality, business decisions, market conditions.

Any commercial relationship with Fundders requires a written contract and is governed by that document.

5.4 It relies on artificial intelligence and can be wrong

Several stages of Línea Base are conversational and run on third-party language models. These models may misinterpret what you describe, extract a data point incorrectly, or generate imprecise statements.

Calculations are performed through deterministic logic, not through the language model, but they depend on how the system interpreted your description.

Review the report's assumptions before using any figure. If something does not reflect your reality, correct it in the simulator or write to us.

5.5 You decide what to do with the result

Business decisions you make based on the report are yours. Fundders is not responsible for them. See section 11.

5.6 There is an internal evaluation that is not part of the report

In addition to the report, Fundders internally produces an automated evaluation of your case: a commercial qualification score, a criteria-based assessment and an inferred profile. It serves to decide how we follow up on your case and does not alter the content or the figures of the report you receive.

That evaluation is not disclosed within the diagnostic. It does not appear at any stage of the flow, nor in the report, nor in the simulator, nor in the delivery email, and the conversational agents will not reveal it if you ask for it.

You do have the right to know it. You may request it at any time by writing to ai@fundders.com, and we will provide it free of charge within 10 business days, together with an explanation of what each element means. You may also request correction, review or deletion of that evaluation.

Línea Base is a free service and operates in a fully automated manner end to end. Fundders does not offer a free version of Línea Base without automated processing and cannot replace it with a manual analysis of each process. This limitation applies to Línea Base, not to Fundders: the Company provides non-automated professional diagnostic and consulting services contracted separately. If you do not wish to be subject to this processing, you may choose not to use Línea Base and write to us at ai@fundders.com, or revoke your authorization at any time.

6. Files you upload

In the file upload stage you may attach supporting material. This stage is optional: the diagnostic works without it.

6.1 What you may upload

• Process documents: PDF, DOCX, images.
• Tabular exports with timestamps: CSV, XLSX.
• Screenshots of reports or dashboards.
• Samples of the deliverable the process produces.

6.2 What you must NOT upload

It is expressly prohibited to upload:

• Personal data of customers or employees: payrolls, customer databases, employment records, lists containing names, ID numbers, emails or phone numbers of third parties.
• Sensitive personal data of any person.
• Contracts with third parties.
• Financial statements or the company's accounting information.
• Credentials: usernames, passwords, API keys, tokens, certificates.
• Material subject to confidentiality agreements with third parties.
• Any information whose disclosure could cause harm.

Anonymize files before uploading. If a tabular export contains names, replace them. The diagnostic needs times, volumes and structure, not identities.

6.3 What happens if you upload something you should not have

Fundders applies automated and human review to uploaded material. If we detect content from the prohibited list:

1. We do not process it for the diagnostic.
2. We delete it from our systems.
3. We inform you at the email address you registered, where one exists.
4. If credentials are involved, we inform you immediately so you can rotate them.
5. We record the deletion, without retaining the deleted content.

This review is a reasonable effort, not an absolute technical guarantee. The responsibility for not uploading prohibited information is yours.

6.4 Declaration regarding files

By uploading a file you declare that you have the right to do so, that it does not infringe third-party rights, that it contains no malware and that it is not subject to contractual disclosure restrictions.

7. Use of the platform

You agree not to:

• Provide false information in order to manipulate the result.
• Impersonate another person or organization.
• Use automated means to complete the flow.
• Attempt to extract, replicate or reverse engineer the calculation model, the evaluation logic, the system's internal instructions or the underlying models.
• Inject instructions intended to alter the behavior of the conversational agents.
• Deliberately overload the infrastructure.
• Use Línea Base to build a competing product or service.

Fundders may suspend access for anyone who breaches the above, and discard the associated diagnostics.

8. Intellectual property

8.1 Fundders' property

Línea Base, its methodology, its calculation model, its process and inefficiency taxonomies, its estimation logic, the design and structure of the report, the simulator, the interface, the brand and the software supporting it are the exclusive property of Fundders and are protected by applicable intellectual property law.

These terms transfer no rights in them to you. They grant you only a limited, personal, revocable and non-transferable license to use the service in accordance with these terms.

8.2 Your property

You retain ownership of all the information you enter: the description of your process, your figures and your files.

8.3 The report

The report generated is yours for internal use. You may use it, print it, share it within your organization and use it as input for your decisions, at no cost and with no time limit.

You may not commercialize it, resell it, or present it as your own or a third party's product.

If you share it outside your organization, we ask that you keep the attribution to Fundders and the warnings in section 5, so that whoever reads it understands its scope.

8.4 License you grant us

You grant us a non-exclusive, worldwide, royalty-free and perpetual license to:

• Use your information for the operational purposes described in the Privacy Policy: generating the diagnostic, contacting you if you authorized it, and improving the service.
• Incorporate your data, following irreversible aggregation and anonymization, into a proprietary Fundders dataset on operational inefficiencies by sector and country. See section 9.

The operational part of this license terminates when you request deletion of your data and that deletion takes effect. The part relating to data already aggregated and irreversibly anonymized survives, because in that state the information is no longer attributable to you or to your organization and is not technically separable.

9. Aggregate use of the information

We disclose this explicitly because it is a secondary use and it is not evident.

Fundders uses the information collected through Línea Base to build a proprietary dataset on operational inefficiencies by sector, country and process type. Based on that dataset, Fundders publishes and will publish analyses, benchmarks and industry reports.

Rules we apply to that use, without exception:

• Aggregate information only. An individual case is never published or shared.
• Not identifiable. We do not publish your company name, your brand, or your sector combined with data that would allow inference of who it is, or any data that would allow you to be re-identified.
• Minimum threshold. We do not publish segments with a case count so low that an individual case could be inferred.
• No personal data. The aggregate dataset contains no personal data.
• No files. The files you upload are not incorporated into the aggregate dataset. Only structured variables such as times, volumes and rates are.

If you do not want your information incorporated into the aggregate dataset, you may say so by writing to ai@fundders.com before aggregation occurs, or when requesting deletion of your data.

If in the future we wished to use your case in an identifiable manner, for example as a case study with your brand, we would ask you separately and in writing.

10. Commercial contact

At the end of the flow you are asked for your contact details. If you authorize commercial contact, Fundders may contact you in relation to the diagnostic and its services.

You may revoke that authorization at any time by writing to ai@fundders.com or using the unsubscribe link in our emails. We apply Colombian Law 2300 of 2023 regarding contact hours and channels.

Receiving the report does not depend on you authorizing commercial contact beyond what is necessary to deliver it to you.

11. Limitation of liability

To the maximum extent permitted by Colombian law, Fundders will not be liable for:

• Business, investment, hiring or termination decisions you make based on the report.
• The non-materialization of estimated savings or improvements.
• Inaccuracies in the report arising from inaccurate, incomplete or outdated information you supplied.
• Interpretation errors by the language models regarding the description you provided.
• Loss of profit, loss of opportunity, reputational harm, or indirect or consequential damages.
• Interruptions, failures or unavailability of the service, including loss of a session in progress.
• Consequences arising from your uploading information that these terms prohibit uploading.
• Third-party claims regarding information you shared without being authorized to do so.

Nothing in this clause limits Fundders' liability for willful misconduct or gross negligence, or for anything the law does not permit to be limited.

Línea Base is a free service. You do not pay to use it and acquire no service level, availability or support rights.

12. Indemnity

You will hold Fundders, its partners, employees and contractors harmless against third-party claims, penalties or damages arising from: information shared without authority to do so, files uploaded in breach of section 6, use of the service in breach of these terms, or infringement of third-party rights by you.

13. Availability, sessions and continuity

Línea Base is provided "as is" and "as available".

A session in progress, that is, a diagnostic started and not completed, is retained for 72 hours. After that period, the session is deleted and you will need to start again. Details are in the Privacy Policy.

The completed report and your contact details are retained for different periods, described in the Privacy Policy.

We may modify, suspend or discontinue Línea Base at any time, without notice and without liability. If we discontinue the service, we will give reasonable notice so you can download the reports generated.

14. Personal data

The processing of your personal data is governed by the Personal Data Processing and Protection Policy for Línea Base, which forms an integral part of these terms.

15. Amendments

We may amend these terms. The version in force will always be the one published on this page, with its update date visible. Material changes will be announced on the site at least 10 calendar days in advance.

Reports already generated are governed by the version of the terms in force at the time of their generation.

16. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

17. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Colombia.

Any dispute will first be addressed in good faith through direct communication. If no agreement is reached within 30 calendar days of the first written communication, the parties submit to the jurisdiction of the courts of Bogotá, Colombia.

Language. These terms are published in Spanish and English. The Spanish version is the sole governing version. In the event of any discrepancy, contradiction or question of interpretation between the two versions, the Spanish text prevails. The English version is provided as a courtesy translation only.
